Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Outlyo (“Outlyo,” “we,” “our,” or “us”) governing your access to and use of the Outlyo platform available at outlyo.com(the “Service”). By creating an account or using the Service you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Outlyo you represent that you are at least 13 years of age (or the applicable digital age of consent in your country, whichever is higher), and that you have the legal capacity to enter into this agreement. If you are using Outlyo on behalf of an organization, you represent that you have authority to bind that organization.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. For material changes we will also send notice to the email address associated with your account.

2. Description of Service

Outlyo is an AI-powered YouTube ideation and scriptwriting tool. The Service connects to publicly available YouTube channel data to identify “outlier” videos — content that has significantly outperformed the baseline viewership of a given channel — and uses that data together with AI to generate ranked video ideas and draft scripts.

Outlyo makes no guarantee, express or implied, of any specific outcome on YouTube, including but not limited to video views, subscriber counts, revenue, or channel growth. The Service provides creative and research assistance; results depend entirely on factors outside our control, including YouTube’s algorithm, your production quality, your audience, and external market conditions.

Features, pricing, and availability may change at any time with reasonable notice.

3. Accounts & Eligibility

You must create an account to access the paid features of Outlyo. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@outlyo.com if you suspect unauthorized access.

One person or legal entity may not maintain more than one free account. Account sharing or reselling access to third parties is prohibited.

4. Acceptable Use

You agree not to use the Service to:

• Scrape, crawl, or otherwise extract data from Outlyo’s platform, APIs, or databases in any automated manner not explicitly permitted by us.
• Generate, upload, or distribute content that is unlawful, defamatory, hateful, obscene, or otherwise objectionable.
• Violate any applicable law, including intellectual property laws, privacy regulations, or YouTube’s own Terms of Service.
• Abuse, harm, or attempt to gain unauthorized access to other users’ accounts or Outlyo’s systems.
• Resell or sublicense your Outlyo subscription or credits without our written permission.
• Use the Service to produce spam, unsolicited commercial content, or bulk synthetic media designed to deceive or mislead viewers.
• Reverse-engineer, decompile, or attempt to extract the source code of Outlyo’s software.

We reserve the right to suspend or terminate any account that we reasonably believe is engaged in prohibited conduct, without prior notice and without refund.

5. Credits, Subscriptions & Billing

Outlyo is a credit-based subscription service. Credits are consumed each time you perform a billable action (such as generating video ideas or writing a script). Your subscription plan determines how many credits you receive each billing period.

• Subscriptions auto-renew. Your subscription will automatically renew at the end of each billing period (monthly or annual, as selected) until you cancel. You can cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
• Free plan. New accounts start on a free plan with a monthly credit allowance and no payment method required. We do not auto-convert free accounts into paid subscriptions; you are only charged if you explicitly upgrade to a paid plan at checkout.
• Credits are consumed per action and unused credits within a billing period may not roll over to the next period (except where explicitly stated in your plan description). Please see our Refund & Cancellation Policy for information about credit refunds.
• Payments are processed by Dodo Payments as the Merchant of Record. When you make a payment on Outlyo, your contract for that payment is with Dodo Payments, and their terms apply to the transaction. We do not store your full payment card details.
• Prices are displayed in USD unless otherwise noted and are exclusive of any applicable taxes, which may be added by Dodo Payments at checkout based on your location.

6. Intellectual Property

Your content

You retain full ownership of the scripts, ideas, and other content you generate using Outlyo. By using the Service, you grant Outlyo a limited, non-exclusive, worldwide, royalty-free license to process and store your content solely to provide the Service to you. We do not sell your generated content to third parties.

Outlyo’s platform

The Outlyo platform, including its software, design, algorithms, trademarks, and all content we create, is owned by Outlyo and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of Outlyo’s platform to you.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant Outlyo the right to use that feedback without restriction or compensation to you.

7. AI-Generated Content Disclaimer

Outlyo’s outputs — including video ideas, scripts, hooks, and titles — are generated by AI models (including Anthropic Claude and OpenAI GPT). AI-generated content may contain inaccuracies, factual errors, stylistic inconsistencies, or content that is unsuitable for your audience.

You are solely responsible for reviewing, editing, and verifying all AI-generated output before publishing or distributing it. Outlyo is not liable for any consequences arising from publishing AI-generated content without appropriate review.

8. Third-Party Services

The Service integrates with or depends on third-party services including Google / YouTube (for public channel data and analytics), Supabase, Resend, Anthropic, OpenAI, Dodo Payments, and Vercel. Your use of those services is subject to their respective terms and privacy policies. Outlyo is not responsible for the availability, accuracy, or practices of any third-party service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTLYO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTLYO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT SHALL OUTLYO’S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO OUTLYO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

11. Termination

You may close your account at any time from your account settings or by emailing support@outlyo.com. Upon closure, your subscription will not auto-renew, but access continues until the end of the paid period.

We may suspend or terminate your access at any time for violation of these Terms, for non-payment, or for any other reason at our discretion, with reasonable notice where practicable. Upon termination, all licenses granted to you terminate immediately.
